BGH hebt vier „Lehman“-Urteile auf

Anif Press Info Dienstag, 26.06.2012/ In insgesamt vier gleichgelagerten Fällen wurden heute durch den XI Senat des Bundesgerichtshofs in Zivilsachen, zuständig u.a. für Bankrecht, mehrere Urteile zugunsten von geschädigten „Lehman Brothers“-Anlegern aufgehoben und zur Neuverhandlung an die Landgerichte zurückverweisen.

Die geschädigten Anleger hatten beim Kauf von Lehman-Zertifikaten (Lehman Brothers Holdings Inc.) Totalverluste in Höhe von bis zu 300 Tausend Euro eingeklagt gegen die beteiligten Banken.

Dabei wurden den Banken recht weitgehende Aufklärungspflichten zugemutet.

Abzugrenzen ist laut BGH zunächst die Frage, ob ein Kaufvertrag (Festpreisgeschäft) vorlag, oder Kommissionsgeschäft.

Beim Kaufvertrag müsse die Bank weder über ihre Gewinnmarge aufklären, noch über die Tatsache, daß die Zertifikate als Eigengeschäft erworben werden.

Sollte ein Kommissionsgeschäft vorliegen, bestehe keine Aufklärungspflicht der Bank über die vom Emittenten an sie gezahlten Provisionen nach den Grundsätzen der Rückvergütung.

Jetzt wird es auf die sonstigen vorgetragenen Pflichtverletzungen ankommen.

Und vielleicht wird es irgendwann auch auf die Frage, ob die lockere deutsche Art, die Trennung von Bankwesen und Vertrieb einfach zu ignorieren, ankommen.

English Summary

This regards several German investors protection lawsuits connected to the insolvency of the US Investment Company Lehman Brothers Holdings Inc.

This past thursday, on June 26, 2012, the German Supreme Court in Civil Matters (Bundesgerichtshof in Zivilsachen, BGHZ) reversed four judgments previously, in 2011, rendered by German State Supreme Courts (Oberlandesgericht) regarding Lehman Brothers Certificates that turned out to be worthless investments.

The investors had been rendered positive judgements adjudicating damages of up to 300.000 Euros (corresponding to about 373 T USD) to them in their law-suits against their banks, based on alleged violation of bank duties to reveal, among others, gains, kick-backs and/ or provisions secretly granted to them.

The German Supreme Court denied such duties of the banks that have been distributing Lehman Brothers Certificates. Also, according to the German Supreme Court in Civil Matters (Bundesgerichtshof in Zivilsachen, BGHZ), there was need to clear which functions the banks had, either as sellers or simply offering financial products under commission. The problem of German banks unhinderedly mingeling banking business with distribution, and the separation between banks and other commerce has, so far, not really been recognized as a problem in Germany.

So, the German inferior State Courts now have to continue investigating if possible violations of other duties by the distributing banks might justify their judgments.
